Welcome to Psypher AI Pvt Ltd ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our website located at https://psypher.ai (the "Website") and our AI-powered products and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access our Services.

Use of Services

Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are of legal age to form a binding contract with us.

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio clips, video, data compilations, and software) are owned by Psypher AI Pvt Ltd and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain all rights to any content you submit, post, or display on or through our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content in connection with providing our Services.

Feedback

If you provide us with any feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without any obligation to you.

AI Products and Services

Service Descriptions

Our AI-powered products include but are not limited to StrangerChat AI, Outyn AI, and CogniSafe AI. Each product has specific terms and conditions that apply in addition to these general Terms.

AI Limitations

While we strive to provide accurate and reliable AI services, you acknowledge that:

• AI systems may produce inaccurate or incomplete results
• AI outputs should not be relied upon for critical decisions without human review
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• You are responsible for verifying any AI-generated information before use

Data Usage

By using our AI services, you agree that we may use your data to improve our AI models and Services, subject to our Privacy Policy. We implement industry-standard security measures to protect your data.

Venture Studio Services

For clients engaging with our venture studio services, additional terms and conditions will apply as specified in separate service agreements. These may include:

• Project scope and deliverables
• Payment terms and schedules
• Intellectual property ownership
• Confidentiality obligations
• Success metrics and milestones

Payment and Billing

Fees

Certain aspects of our Services may be provided for a fee. You agree to pay all applicable fees as described at the time of purchase. All fees are in USD or INR unless otherwise stated.

Subscriptions

If you purchase a subscription, it will automatically renew at the end of each billing period unless you cancel it. You authorize us to charge your payment method for recurring payments.

Refunds

Refund policies vary by product and service. Please contact us at hello@psypher.ai for refund requests. Generally, we offer refunds within 14 days of purchase for annual subscriptions and within 7 days for monthly subscriptions, subject to our refund policy.

Disclaimers and Limitation of Liability

No Warranties

We disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that:

• Our Services will be uninterrupted, secure, or error-free
• The results obtained from using our Services will be accurate or reliable
• Any errors in our Services will be corrected

Limitation of Liability

To the maximum extent permitted by law, Psypher AI Pvt Ltd and its affiliates, officers, employees, agents, partners, and licensors shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or goodwill
• Any damages arising from your use or inability to use our Services
• Any damages arising from unauthorized access to or alteration of your data

Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless Psypher AI Pvt Ltd and its affiliates, officers, employees, agents, partners, and licensors from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with:

• Your access to or use of our Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us at hello@psypher.ai. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

Governing Law and Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Dispute Resolution

Any dispute arising out of or relating to these Terms or our Services shall be resolved through:

1. Good faith negotiations between the parties
2. If negotiations fail, through binding arbitration in Kerala, India
3. The arbitration shall be conducted in English

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms.

General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and Psypher AI Pvt Ltd regarding your use of our Services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms without restriction.
